To proceed you must review and accept the Terms and Conditions. TERMS AND CONDITIONS By accessing the web site www.disclosureUSA.org (the “Site”), you agree on behalf of yourself and each organization you represent to the following terms and conditions:

1. The content of the Site (other than the disclosure filings) is owned by the Municipal Advisory Council of Texas, d/b/a DisclosureUSA (“Texas MAC”) and is protected by copyright laws of the United States. Any modification, copying (other than incidental copying occurring as you access the Site) or distribution of that content (other than the posted disclosure filings) is prohibited unless prior written permission is obtained from Texas MAC. DisclosureUSA is a trademark of Texas MAC.

2. If you open an account, make a filing on the Site, or otherwise engage in any transaction on the Site with respect to any entity (including an issuer of securities, an obligated person with respect to securities, a disclosure or dissemination agent, financial advisor or trustee), each such activity constitutes a representation by you to Texas MAC that

a. You are authorized to conduct such activity on behalf of the issuer, obligated person, or other entity;

b. Any account information you provide is true and correct; and

c. Any disclosure filing that you make is authorized by the appropriate entity(ies) to be posted on the Site, to be disseminated to NRMSIRs and SIDs (within the meaning of SEC Rule 15c2-12), and to be made publicly available without restriction.

3. Texas MAC is providing this service as an independent contractor, and there is no agency or fiduciary relationship between Texas MAC and you or any entity you represent.

4. In consideration of the service provided by Texas MAC and the terms of such service, you agree that the only obligation of Texas MAC with respect to disclosure filings you make is to transmit to the NRMSIRs and SIDs, in accordance with the time frames established by Texas MAC, the documents you file. You understand and agree that Texas MAC has no responsibility to review the materials submitted to determine whether they have been properly posted to the Site or satisfy the related continuing disclosure requirements.

5. You understand that Texas MAC has not represented (and hereby disclaims any implied warranty) that the posting and, if applicable, scanning process will be error free or that the Site will be continuously available. Downtimes when the Site is not accessible may occur for a variety of reasons. Texas MAC’s only obligation with respect to interruptions in availability of the Site is to use commercially reasonable efforts to restore availability in a reasonable time. Texas MAC is not obligated to provide any specific customer support or to modify the Site to establish or maintain compatibility with any particular hardware, software or network. Texas MAC reserves the right to modify the Site.

6. You agree to notify Texas MAC if your contact information changes and that we may utilize e-mail communications to the email addresses you provide to provide any notice or communication to you or the entities you represent.

7. It is your responsibility to review the filings that you post to the Site, and to correct any errors in such filings.

8. UNDER NO CIRCUMSTANCES WILL TEXAS MAC BE LIABLE TO ANY PERSON FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, PUNITIVE, SPECIAL OR SIMILAR DAMAGES, PENALTIES OR FINES (INCLUDING LOST PROFITS), HOWSOEVER CAUSED, WHETHER AS A CONSEQUENCE OF NEGLIGENCE, STRICT LIABILITY, BREACH OF CONTRACT OR INTENTIONAL MISCONDUCT, EVEN IF TEXAS MAC HAD REASON TO KNOW OF THE POSSIBLE EXISTENCE OR INCURRENCE OF SUCH DAMAGES. THE MAXIMUM LIABILITY OF TEXAS MAC TO ANY PERSON IS LIMITED TO THE FEES PAID BY SUCH PERSON TO TEXAS MAC FOR THE SERVICES RENDERED.

9. These terms and conditions, and the relationship between you (and the entity(ies) you represent) and Texas MAC are governed by the laws of the State of Texas and applicable federal law of the United States of America, without regard to the application of any conflict of law rule that would permit the application of the substantive laws of another jurisdiction.

10. This website is protected under Federal law, and violators are subject to prosecution. All persons purporting to act for issuers or obligated persons in submitting documents must be authorized to do so and, by doing so, are certifying, under penalty of law, their authority to Texas MAC, each NRMSIR and SID, the Securities and Exchange Commission, investors and dealers using or relying, directly or indirectly upon, the documents, and the issuer or issuers and applicable obligated persons with respect to whose securities or obligations the submissions are made. The staff of the Securities and Exchange Commission has stated that fraudulent document submissions (and other forms of fraud) are subject to enforcement actions by the Commission and, in appropriate circumstances, by Federal criminal prosecution. In addition, issuers or obligated persons may have rights under Federal and state law with respect to unauthorized submissions.
